No right or license may be construed, under any legal theory, by implication, estoppel, industry custom, or otherwise. All rights not expressly granted to you are reserved by MAINFIXER and its licensors and other third parties. Any unauthorized use of any Content or the Site for any purpose is prohibited.

F. Our Right to Use User Generated Content. When you submit or post any User Generated

Content, you grant us, and anyone authorized by us, a royalty-free, perpetual, irrevocable,

non-exclusive, unrestricted, worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform or display such User Generated Content), in whole or in part, in any manner or medium (whether now known or hereafter developed), for any purpose that we choose. The foregoing grant includes the right to exploit any proprietary rights in such User Generated Content, including, but not limited to, rights under copyright, trademark or patent laws that exist in any relevant jurisdiction. You understand that the technical processing and transmission of the Site, including content submitted by you including the User Generated Content, may involve transmissions over various networks, and may involve changes to the content to conform and adapt it to technical requirements of connecting networks or devices. You will not receive any compensation of any kind for the use of any materials submitted by you including, without limitation, any User Generated Content.

14. Procedure for Alleging Copyright Infringement

Digital Millennium Copyright Act

MAINFIXER will respond to alleged copyright violations in accordance with the Digital Millennium Copyright Act (“DMCA”). The Privacy Policy does not protect information that MAINFIXER may provide to third parties at its discretion or as required by law through copies of notices referenced below.

A. If you are a copyright owner or an authorized agent and believe that any User-Generated Content infringes on your copyrights, you may submit a written notification in accordance with the Digital Millennium Copyright Act (“DMCA”) by providing MAINFIXER’s Intellectual Property department with the following information:

1) A physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.

2) Identification of the copyrighted work claimed to have been infringed, or if a single notification covers multiple copyrighted works on the same website, a representative list of those works.

3) Identification of the material that is claimed to be infringing or the subject of infringing activity, along with information reasonably sufficient for MAINFIXER to locate the material.

4) Contact information sufficient for MAINFIXER to reach you, such as your address, telephone number, and, if available, an email address.

5) A statement confirming your good faith belief that the use of the material in question is not authorized by the copyright owner, its agent, or the law.

6) A statement declaring that the information provided in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.

B. Counter-Notice: If you believe that your User-Generated Content, which was removed or had its access disabled, does not infringe copyright or that you have authorization from the copyright owner, their agent, or under applicable law to post and use the material in your content, you may submit a counter-notice to MAINFIXER’s Intellectual Property department at the address provided below. Your counter-notice should include the following information:

1) Your physical or electronic signature.

2) Identification of the User Generated Content that has been removed or to which access has been disabled and the location at which the User Generated Content appeared before it was removed or disabled.

3) A statement that you have a good faith belief that the User Generated Content was removed or disabled because of mistake or a misidentification of the User Generated Content; and

4) Your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the Federal court in Pittsburgh, Pennsylvania, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.

5) If a counter-notice is received by the Intellectual Property department, MAINFIXER may send a copy of the counter-notice to the original complaining party informing that person that MAINFIXER may replace the removed User Generated Content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the User Generated Content provider, member or user, the removed User Generated Content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at MAINFIXER’s sole discretion.

6) You acknowledge that if you fail to comply with all of the requirements of this Section 18,

your DMCA notice may not be valid.

Determining whether your copyright has been infringed can be challenging. MAINFIXER may choose not to respond to DMCA Notices that fail to substantially meet the outlined requirements. Additionally, MAINFIXER may decide to remove allegedly infringing material even if the notice does not fully comply with the DMCA.

Please be aware that under the DMCA, anyone who knowingly misrepresents that material or activity is infringing may be held liable.

Please do not send MAINFIXER any Unsolicited Ideas and Materials, whether as part of your User-Generated Content or by any other means.

Any Unsolicited Ideas and Materials you submit through the Site will be treated as User-Generated Content and licensed to MAINFIXER as described above.

Your relationship with MAINFIXER is not confidential, fiduciary, or otherwise special. Any Unsolicited Ideas and Materials, along with other submissions such as questions, comments, correspondence, or posts, will be treated as non-confidential and non-proprietary User-Generated Content — regardless of any labels like “confidential” or “proprietary” that you may include.

MAINFIXER assumes no responsibility, obligation, or liability for receiving, not receiving, losing, or destroying any such submissions. 20. Force Majeure

If MAINFIXER, for any reason beyond its reasonable control, such as an act or threat of terrorism, war, emergency, act of God, work stoppage, or other similar event, is not able to provide perform its obligations under this Agreement, it is agreed that such non-performance shall be excused during such time period and shall not be a default of this Agreement.

21. Jurisdictional Issues

These Terms of Use shall be governed by, interpreted, and enforced in accordance with the substantive laws of the State of Michigan, United States, without regard to its conflicts of laws principles. Except for claims seeking injunctive or equitable relief related to intellectual property rights (which may be filed in any state or federal court of competent jurisdiction in Ingham County, Michigan), any dispute, claim, or controversy arising from or related to the Site, the Service, or these Terms of Use will be resolved through binding arbitration in accordance with the Rules of the American Arbitration Association. Any claims must be brought by you individually, not as part of a class action or representative proceeding. You and MAINFIXER will each be responsible for your own costs and legal fees related to the arbitration, regardless of the outcome. The arbitration will take place exclusively in Ingham County, Michigan, and you expressly agree that this will be the sole location for arbitration. Any arbitration award may be entered as a judgment by a court of competent jurisdiction in Ingham County, Michigan. Both parties consent to the exclusive jurisdiction and venue of such courts for this purpose. Some jurisdictions may not allow the exclusion or limitation of implied warranties or limit liability for incidental or consequential damages. Additionally, certain jurisdictions may have special consumer protection laws that override the disclaimers and limitations outlined here. If any of these apply to you, these disclaimers and limitations may not be applicable.
